Synter Media Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Synter Media platform, websites, and related services (collectively, the "Service") provided by Synter Media ("Synter," "we," "us," or "our"). By creating an account, connecting any advertising account, purchasing credits, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
If you do not agree to these Terms, do not use the Service.
1. Overview of the Service
Synter is a software-as-a-service (SaaS) platform for managing cross‑platform advertising campaigns. The Service enables campaign creation, budget optimization, performance analytics, and AI-powered campaign briefs across third-party advertising platforms including Google Ads, Reddit Ads, X Ads, LinkedIn Ads, Meta Ads, and Microsoft Ads (collectively, "Ad Platforms"). The Service connects to Ad Platforms via OAuth and related APIs with your permission.
Synter is an independent service provider and is not affiliated with, endorsed by, or sponsored by any Ad Platform.
2. Eligibility; Accounts
- You must be at least 18 years old and able to form a binding contract to use the Service.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- You must provide accurate, current, and complete information and keep it updated.
- You will promptly notify us at support@syntermedia.ai of any unauthorized use of your account.
3. Third-Party Platforms, OAuth, and Permissions
- You may connect your Ad Platform accounts to the Service using OAuth or similar mechanisms. By doing so, you authorize Synter to access, retrieve, and (where permitted) create and modify campaign assets, budgets, and settings on your behalf.
- Synter will request only the scopes necessary to deliver the Service. You can revoke access at any time through the applicable Ad Platform's account settings; however, revoking access may limit or disable Service functionality.
- You must comply with all applicable Ad Platform terms, policies, and advertising guidelines. You are solely responsible for ensuring your ads, creatives, targeting, budgets, and other settings comply with law and platform requirements.
- You acknowledge that Ad Platforms may change their APIs, rate limits, or policies at any time, which may affect the Service. Synter is not responsible for interruptions or changes resulting from Ad Platform actions.
4. Data Privacy and Security
- Data we process may include your account information, connected Ad Platform identifiers, campaign data and metrics, and OAuth tokens. OAuth tokens are stored encrypted at rest, and data is encrypted in transit.
- The Service's frontend is hosted on Vercel and backend services run on reputable cloud providers. Synter uses commercially reasonable administrative, technical, and physical safeguards designed to protect your data. No system is 100% secure; you use the Service at your own risk.
- We do not store your full payment card details; payments are processed by Stripe.

5. Data Processing and GDPR
- Roles. For personal data contained in your Ad Platform data and campaigns, you are the "controller" (or equivalent under applicable law) and Synter acts as a "processor" processing data on your documented instructions to provide the Service.
- Legal bases and transfers. We rely on appropriate legal bases for processing and may transfer data internationally using appropriate safeguards.
- Data subject rights. We will reasonably assist you in responding to data subject requests applicable to the data we process on your behalf.
6. Pricing, Credits, and Payment
- Credits. The Service uses a credit-based pricing model. Credits are priced at $0.10 USD per credit. Features and actions may consume credits as described in the Service.
- Purchase and billing. You may purchase credits via Stripe. You authorize us to charge your selected payment method for purchased credits and applicable taxes.
- Non‑refundability. Unless required by law, purchased credits are non‑refundable and non‑transferable.
- Taxes. Prices exclude taxes. You are responsible for all applicable taxes.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose, to violate Ad Platform rules, or to infringe third-party rights.
- Upload or generate content that is deceptive, defamatory, obscene, or otherwise prohibited by law.
- Attempt to probe, scan, or test vulnerabilities or circumvent security measures.
- Access the Service to build a competing product.
- Interfere with or disrupt the Service or its infrastructure.
We may investigate and suspend or terminate accounts for suspected violations.
8. AI‑Powered Features
The Service may include AI features that generate campaign briefs, suggestions, or other outputs. You are solely responsible for reviewing and validating any AI output before use. Synter does not guarantee accuracy, completeness, or suitability of AI outputs and disclaims liability for errors or omissions.
9. Intellectual Property
- Synter IP. The Service, including software and documentation, is owned by Synter and protected by intellectual property laws.
- Your Data. You retain ownership of your data. You grant Synter a license to host and process Your Data solely to provide the Service.
- Feedback. If you provide feedback, you grant Synter a royalty‑free, perpetual license to use it.
10. Disclaimers
- No guarantees on performance. Synter does not guarantee impressions, clicks, conversions, or any marketing outcome. You are solely responsible for ad spend incurred via connected Ad Platforms.
- Third‑party data. Metrics may be delayed, limited, or inaccurate. We are not responsible for third‑party changes.
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.
11. Limitation of Liability
To the maximum extent permitted by law:
- Synter will not be liable for any indirect, incidental, special, consequential, or punitive damages; loss of profits or data.
- Synter is not liable for any ad spend, charges, or penalties incurred on Ad Platforms.
- Synter's total liability is limited to the greater of: (a) amounts you paid in the twelve (12) months preceding the claim, or (b) US$100.
12. Indemnification
You will indemnify and hold harmless Synter from claims arising out of: (a) Your Data or ads; (b) your violation of these Terms or law; or (c) allegations that your use infringes third‑party rights.
13. Term and Termination
- These Terms begin when you first use the Service and continue until terminated.
- You may stop using the Service at any time. To delete your account, contact support@syntermedia.ai.
- We may suspend or terminate your access for violations, non-payment, or if required by law.
- Upon termination, your right to access ceases. We will make reasonable efforts to allow data export where practicable.
14. Changes to Terms
We may update these Terms from time to time. If changes are material, we will provide notice. Continued use after the effective date constitutes acceptance.
15. Dispute Resolution; Governing Law
- Governing law. These Terms are governed by the laws of Delaware, USA.
- Informal resolution. Contact legal@syntermedia.ai to attempt informal resolution within 30 days.
- Arbitration. Disputes will be resolved by binding arbitration under AAA Commercial Arbitration Rules.
- Class action waiver. Claims may only be brought individually, not as class actions.
